IMPORTANT – PLEASE CAREFULLY READ AND UNDERSTAND OUR TERMS OF USE AND CONDITIONS OF SALE (“TERMS” OR “AGREEMENT”) BEFORE ACCESSING, USING, OR PLACING AN ORDER THROUGH OUR WEBSITE OR SERVICES. THESE TERMS INCLUDE DISCLAIMERS OF WARRANTIES AND LIMITATIONS OF LIABILITY (SEE SECTIONS 15 AND 16). THEY FORM A LEGALLY BINDING AGREEMENT BETWEEN YOU AND NUSHI AI.

Your access to or use of nushi.ai, its subdomains, affiliated sites, mobile apps, or related services (collectively, the “Services”), provided by Nushi AI, Inc. (“Nushi AI,” “we,” “our,” or “us”), is subject to the following Terms. By using the Services, or authorizing any third party to use them on your behalf, you agree to be bound by this Agreement in its entirety. If you do not agree, you must immediately discontinue use of the Services.

Arbitration Notice and Class Action Waiver:
This Agreement contains binding arbitration provisions and a waiver of your right to a jury trial and to participate in class actions. Arbitration is mandatory for all disputes with Nushi AI or its affiliates.

The most current version of these Terms is available at nushi.ai/terms. We may update these Terms at any time by posting changes to our website. It is your responsibility to check for updates. Continued use after changes are posted indicates your acceptance.

1. Site Use

Nushi AI’s Services are intended for users of legal age. By using our Services, you confirm that you are at least 18 years old (or the age of majority in your jurisdiction) and legally able to enter into a binding agreement. You agree to comply with these Terms and all applicable laws.

2. Changes to These Terms

We reserve the right to update or modify these Terms at any time. Changes will be posted at nushi.ai/terms. Your continued use of the Services following any changes constitutes your acceptance of the revised Terms.

3. Privacy and Security Disclosure

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You can view it at nushi.ai/privacy. We may modify the Privacy Policy at our discretion. Continued use after any changes constitutes acceptance.

4. No Investment Recommendations or Professional Advice

Nushi AI does not provide financial, tax, legal, or investment advice. None of the content, tools, or Services offered through our platform should be considered personalized investment advice or a recommendation to buy or sell any security. You are solely responsible for your investment decisions and should consult with a qualified professional before acting.

Any data or discussion of financial performance on our platform is impersonal, general in nature, and not tailored to your specific financial situation. Information provided may be outdated, partial, or superseded by new developments. You are responsible for ensuring that you are accessing the most current information available.

5. No Direct Lending

Nushi AI is not a lender. We do not offer loans or credit. If you choose to seek lending services elsewhere, your eligibility and terms will be determined by third-party lenders not affiliated with Nushi AI. We do not guarantee any specific offers or outcomes.

6. Forex Investment Risk Disclosure

Trading foreign exchange (Forex) carries significant risk. Leveraged trading can result in substantial losses, including the loss of your entire investment. Risks include market volatility, lack of liquidity, leverage exposure, and limited regulatory protections.

By using Nushi AI’s Services, you acknowledge that you understand these risks and accept full responsibility for your trading activity. We do not execute trades on your behalf, nor do we apply stop loss orders or other risk management tools automatically. These decisions are entirely yours.

Past performance is not indicative of future results. Any charts, systems, or strategies discussed on the site are for illustrative purposes only. If you choose to use a PAMM (Percentage Allocation Money Management) account, you are solely responsible for monitoring and managing that account.

7. Intellectual Property

All content, materials, software, trademarks, graphics, logos, text, audio, video, and other intellectual property available on or through nushi.ai (collectively, “Content”) are owned by Nushi AI, Inc. or its licensed providers and are protected by copyright and trademark laws. You are permitted to access and use the Content for your personal, non-commercial use only. Any reproduction, modification, distribution, or commercial exploitation of our Content without express written permission is strictly prohibited. All rights not expressly granted are reserved by Nushi AI.

8. User Conduct

By using our Services, you agree to act responsibly and lawfully. You may not:

Interfere with another user’s access to the Services
Use the Services for unlawful purposes or in violation of any applicable law
Imply that your actions are endorsed by Nushi AI without prior written consent
Reverse engineer, copy, or alter any portion of the platform
Introduce viruses, malware, or any harmful code
Use bots, scrapers, or other automated methods to extract data
Harvest or collect personal data from other users without consent
Transmit unsolicited advertising or spam
Ask Nushi AI for specific trading advice

Nushi AI reserves the right to suspend or terminate your account for any violation of these terms.

9. Account Registration

To access certain Services, you may need to create an account. By registering, you agree to:

Maintain only one account per user
Keep your login credentials confidential
Provide accurate and complete information
Accept responsibility for all activity under your account
Notify us immediately of any unauthorized use or security breach

You may not use another user’s account. Nushi AI reserves the right to suspend or terminate accounts at our sole discretion.

10. Automatic Billing and Cancellation Policy

Some Nushi AI Services may be subscription-based. By subscribing, you authorize automatic renewal at the then-current rate unless canceled. We will notify you via email before renewal.

You can cancel your subscription at any time by emailing support@nushi.ai or using our online self-service portal. Cancellations take effect within 20 business days, and access remains active through the end of the current billing cycle.

11. Refunds

Unless explicitly stated otherwise for a particular product or service, all payments are non-refundable. By using our Services, you agree to waive your right to any refunds. For questions, contact us at support@nushi.ai.

12. Payment Methods

All charges are in U.S. Dollars. We accept major credit cards (Visa, MasterCard, American Express, Discover) and PayPal. By submitting payment information, you represent that:

You are authorized to use the card or account
Your information is accurate and up to date
You will maintain sufficient funds
You are responsible for any credit card or banking fees incurred

We may receive updated payment information from your provider to help avoid service interruptions. Contact your card issuer if you wish to opt out of automatic updates.

13. Social Media

Our presence on platforms like Facebook, Instagram, LinkedIn, YouTube, or X (formerly Twitter) is public. Any interactions you make via these platforms are governed by the terms and privacy policies of the respective third-party site.

Nushi AI is not responsible for third-party content or user-generated posts. We reserve the right to moderate or remove content that violates our community standards but are not obligated to do so. Offensive or inappropriate content should be reported directly to the platform.

14. Copyright Notice

If you believe that content on nushi.ai infringes your copyright, please contact us at:

Your notice must include:

A description of the copyrighted work being infringed
A description of the material that is allegedly infringing
Your contact information (name, address, phone, email)

Your physical or electronic signature

Incomplete or inaccurate notices may delay processing. If we believe the claim is valid, we will remove the material and notify the original poster.

15. Disclaimer of Warranties

Except where prohibited by law, Nushi AI provides its website, software, and Services “as is” and “as available,” without warranties of any kind. We do not guarantee that the Services will be secure, error-free, uninterrupted, or compatible with all devices or systems.

We expressly disclaim all implied warranties, including but not limited to merchantability, fitness for a particular purpose, non-infringement, data accuracy, and uninterrupted availability.

You use our Services at your own risk. We do not guarantee that any results, data, or performance metrics presented through the platform are accurate or reliable.

16. Disclaimer of Liabilities

To the fullest extent permitted by law, Nushi AI and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages—such as lost profits, data loss, or business interruption—arising from your use of the Services.

Even if Nushi AI is aware of the possibility of such damages, our total liability for any claim shall not exceed $500 USD. Some jurisdictions may not allow this limitation, so it may not apply to you.

This limitation applies to all claims, whether based in contract, tort, negligence, strict liability, or otherwise.

17. Governing Law & Dispute Resolution – Arbitration

This Agreement is governed by the laws of the State of California, without regard to its conflict of law rules. Any dispute, claim, or controversy arising out of or related to your use of the Services shall be resolved through binding arbitration, administered by the American Arbitration Association (AAA) in San Francisco, California.

You waive the right to a jury trial and agree not to participate in any class action against Nushi AI. The arbitrator has the authority to grant equitable relief (e.g., injunctions or specific performance). All decisions are enforceable in any court of competent jurisdiction.

Venue for confirmation or enforcement proceedings shall be exclusively in San Francisco County, California.

18. Indemnification

You agree to indemnify and hold harmless Nushi AI, its affiliates, directors, officers, employees, agents, licensors, and contractors from any claims, losses, damages, liabilities, and legal fees arising out of:

Your breach of these Terms
Your misuse of the Services
Your violation of applicable laws or third-party rights

This obligation survives termination of the Agreement.

19. Third-Party Websites and Links

Our website may contain links to third-party websites or services. Nushi AI is not responsible for the content, policies, or practices of third parties. You should review their terms before engaging in transactions. Complaints or claims related to third-party services must be directed to the third party.

20. Testimonials, Reviews, and Other Submissions

By submitting testimonials, reviews, or other content to Nushi AI, you grant us the perpetual right to use, modify, publish, and distribute your submission in any format. This includes using your name, location, and any accompanying media.

Submissions must be your own original content and must not infringe on third-party rights. You waive any right to royalties or other compensation for their use.

Nushi AI may edit, shorten, or reject submissions for clarity or relevance. By submitting, you confirm that you have read and agreed to these Terms.

21. Electronic Communications

By using Nushi AI’s Services, you consent to receive communications from us electronically, including emails, notifications, and updates. These communications are legally binding and satisfy any legal requirement that such communications be in writing.

You understand and agree that electronic communications carry the same weight and effect as physical written notices.

Nushi AI does not provide individualized Forex trading advice, and you agree not to request or rely on such guidance.

22. Assignment

You may not assign or transfer your rights or obligations under these Terms without written consent from Nushi AI. Any attempt to assign without consent is null and void. Nushi AI may freely assign or transfer these Terms in the event of a merger, acquisition, or other business restructuring.

23. No Waiver

Failure by Nushi AI to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision. Any waiver must be made in writing and signed by an authorized representative of Nushi AI.

24. No Agency Relationship

Nothing in this Agreement creates a joint venture, partnership, employment, or agency relationship between you and Nushi AI. Your use of the Services does not imply any relationship beyond that of service provider and user.

25. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect. The invalid provision shall be modified as needed to make it valid and enforceable.

26. Termination

If this Agreement is terminated for any reason, the following provisions will survive: Sections 1, 4, 6, 7, 15–18, and any others that by their nature should survive termination.

27. Integration Clause

These Terms, along with our Privacy Policy, Disclosure page, and any additional policies or notices posted on nushi.ai, constitute the entire agreement between you and Nushi AI. They supersede any prior agreements or understandings. Any ambiguities will not be interpreted against the drafting party.

28. Nushi AI Monthly Subscription: Agreement, Cancellation, Refund Policy

Monthly Subscription
By enrolling in a Nushi AI monthly subscription, you agree to recurring charges at the then-current rate unless canceled. Charges will be automatically billed to your saved payment method until you cancel.

Cancellation Policy
To cancel, log into your account at nushi.ai and submit a cancellation request. Requests are processed within 24 business hours. Your subscription will remain active until the end of your current billing cycle.

Refunds
Unless otherwise stated, subscription fees are non-refundable.
